Please read these Terms of Service ("Terms") carefully before using the website at bladecarepro.com or engaging any services provided by BladeCare ("we", "us", or "our"). By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

These Terms constitute a legally binding agreement between you ("Client" or "you") and BladeCare, operating out of Surrey, British Columbia, Canada.

1. About BladeCare

BladeCare is a professional blade management, knife sharpening, and food safety compliance company serving commercial kitchens and residential customers across Surrey, Vancouver, and the Lower Mainland of British Columbia, Canada.

2. Services Offered

BladeCare provides the following services, subject to these Terms:

  • Commercial knife sharpening and blade maintenance programs
  • Set & Forget Knife Swap Program — scheduled blade supply, sharpening, sanitization, and swap-out
  • HACCP compliance tracking, audit-ready reporting, and blade documentation
  • Colour-coded knife and cutting board supply programs
  • Residential knife sharpening via mail-in service
  • On-site kitchen blade audits and consultations

Service availability, scheduling, and scope are subject to your selected plan or service agreement. BladeCare reserves the right to modify, suspend, or discontinue any service with reasonable notice.

3. Service Agreements & Plans

Commercial service plans (Starter, Professional, Enterprise) are provided on a monthly subscription basis unless otherwise agreed in writing. By subscribing to a plan, you agree to:

  • Provide accurate business and contact information at the time of sign-up
  • Allow BladeCare technicians reasonable access to your premises for scheduled service visits
  • Notify BladeCare of any changes to your kitchen layout, blade inventory, or service requirements with at least 5 business days' notice
  • Pay all applicable fees on time as outlined in your selected plan

All prices are in Canadian Dollars (CAD) and are subject to applicable taxes. BladeCare reserves the right to adjust pricing with 30 days\' written notice.

4. Payment Terms

Payment is due at the time of service or as specified in your service agreement. For subscription plans:

  • Monthly fees are billed in advance at the start of each billing cycle
  • Annual plans are billed upfront and are non-refundable except as outlined in Section 6
  • Late payments may result in service suspension after 10 days' notice
  • Returned or declined payments may incur an administrative fee of $25 CAD

BladeCare uses secure third-party payment processors. We do not store full credit card information on our systems.

5. Cancellation Policy

Monthly Plans: You may cancel your subscription at any time with a minimum of 14 days\' written notice prior to your next billing date. No refunds will be issued for the current billing period.

Annual Plans: Annual subscriptions may be cancelled with 30 days\' written notice. Refunds for unused months will be issued at BladeCare's discretion, less any applicable setup or equipment costs.

One-Time Services: Cancellations for one-time services (including residential sharpening orders) must be made within 24 hours of booking. Orders already in transit or processing are non-refundable.

6. Refund Policy

BladeCare is committed to quality service. Refunds or service credits may be issued in the following circumstances:

  • A service was not performed as agreed and BladeCare is unable to remedy the issue within a reasonable timeframe
  • Damage to client property caused directly by BladeCare technicians (subject to investigation)
  • Duplicate charges or billing errors

Refund requests must be submitted in writing within 14 days of the service date. BladeCare reserves the right to offer a service credit in lieu of a monetary refund.

7. Client Responsibilities

As a BladeCare client, you agree to:

  • Ensure a safe and accessible work environment for BladeCare technicians during service visits
  • Provide accurate information about your blade inventory and kitchen operations
  • Handle all blades — whether sharp or dull — with appropriate care and safety precautions
  • Not misuse, modify, or tamper with any BladeCare-supplied equipment or rental blades
  • Promptly report any damaged, missing, or unsafe blades to BladeCare
  • Comply with all applicable food safety regulations in your jurisdiction

8. Knife Swap Program — Equipment & Rental Terms

Under the Set & Forget Knife Swap Program, BladeCare retains ownership of all supplied blades and equipment at all times. Clients are granted a non-exclusive license to use the blades during the active service period. You agree to:

  • Use supplied blades only for their intended culinary purpose
  • Return all blades in the condition received (normal wear and tear excepted)
  • Report lost or stolen blades within 48 hours — replacement costs may apply
  • Not transfer, lend, or sell BladeCare-supplied blades to any third party

Upon cancellation of the Knife Swap Program, all BladeCare-supplied blades must be returned within 7 business days. Failure to return equipment may result in replacement charges.

9. HACCP Compliance Records

BladeCare provides compliance documentation as a supplementary tool to assist your kitchen in meeting food safety standards. While we strive for accuracy, BladeCare does not guarantee that use of our compliance tools will result in passing any specific inspection or audit. Responsibility for regulatory compliance remains with the client at all times.

Compliance records generated by BladeCare are based on information provided by the client. BladeCare is not liable for inaccuracies arising from incorrect or incomplete information supplied by the client.

10. Limitation of Liability

To the maximum extent permitted by applicable law, BladeCare's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to BladeCare in the 3 months preceding the claim.

BladeCare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by BladeCare's negligence, or for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify, defend, and hold harmless BladeCare, its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of our services or website
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any misuse of BladeCare-supplied equipment or blades

12. Intellectual Property

All content on the BladeCare website, including text, graphics, logos, images, and software, is the property of BladeCare and is protected by applicable Canadian and international intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written consent.

The BladeCare name, logo, and associated marks are trademarks of BladeCare. Unauthorized use is strictly prohibited.

13. Website Use

By using our website, you agree not to:

  • Use the site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to any part of the website or its systems
  • Transmit any harmful, offensive, or disruptive content
  • Use automated tools to scrape, crawl, or harvest data from the website without permission
  • Impersonate BladeCare or any of its employees or representatives

BladeCare reserves the right to suspend or terminate access to the website for any user who violates these Terms.

14. Third-Party Links & Services

Our website may contain links to third-party websites or integrate third-party services (e.g., payment processors, live chat). BladeCare is not responsible for the content, privacy practices, or terms of those third parties. Use of third-party services is at your own risk.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Surrey, British Columbia, in accordance with the rules of the British Columbia International Commercial Arbitration Centre (BCICAC), unless both parties agree otherwise.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.

16. Force Majeure

BladeCare shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, labour disputes, government actions, or supply chain disruptions. We will notify you as soon as reasonably practicable and resume services when conditions allow.

17. Modifications to These Terms

BladeCare reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

For material changes, we will provide at least 14 days' notice via email or a prominent notice on our website.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.

19. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and BladeCare with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
